Limitations of Use

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

transfer the materials to another person or "mirror" the materials on any other server;

knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service IMPLENTIO, INC. provides;

use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;

use this website or its associated services in violation of any applicable laws or regulations;

use this website in conjunction with sending unauthorized advertising or spam;

harvest, collect, or gather user data without the user's consent; or

use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.

Email and Anti-Spam Policy

Implentio, Inc. does not send, and does not permit anyone acting on its behalf to send, unsolicited commercial email advertising implentio.com or Implentio's products. Our marketing email goes to people who have opted in through our website, subscribed to our communications, or otherwise asked to hear from us, and every marketing message includes an unsubscribe link. Opt-out requests are honored promptly. This policy applies equally to our partners, affiliates, and any vendor sending on our behalf. If you believe you have received unsolicited email referencing implentio.com, or would like to unsubscribe, please contact abuse@implentio.com.

Free Audits and Assessment Services

IMPLENTIO, INC. may offer free audits, assessments, spot checks and related analyses of your shipping, carrier, third-party logistics, fulfillment and warehousing costs ("Assessment Services"). These Terms of Service apply to the Assessment Services and to any documents or data you provide through them. Assessment Services are offered without charge and without any obligation to purchase. Findings, estimates and savings figures are based on the materials you provide and are not a guarantee of any recovery, refund, credit or savings. If you request an audit, we may contact you about your submission, your results and scheduling a walkthrough; you can opt out of further messages at any time.

Materials You Submit

"Submitted Materials" means the documents and data you or anyone acting for you upload or otherwise provide to us through this website or the Assessment Services, including invoices, rate cards, contracts, shipment, order, fulfillment, storage, accessorial, surcharge, cost, carrier, third-party logistics provider and performance data, and data from connected platforms.

By providing Submitted Materials, you represent and warrant that:

you are authorized to act for the business on whose behalf you submit them;

you have all rights, consents and authority needed to provide them to us and to grant the rights in these Terms of Service, including under any confidentiality or non-disclosure obligations in your agreements with carriers, third-party logistics providers, warehouses or other vendors; and

they do not include payment card numbers, bank account numbers, government identification numbers, health information or other sensitive personal information. If Submitted Materials contain such information, please remove it before submitting, or contact us and we will delete it.

As between you and us, you retain your rights in your Submitted Materials, subject to the rights you grant us in these Terms of Service.

How We Use Submitted Materials

Providing the Assessment Services. We use Submitted Materials to prepare, deliver and explain your audit or assessment, to communicate with you about it, and to provide any related services you request.

Internal use. We may also access, use, process, analyze and combine Submitted Materials, including with data from other customers, prospects and third-party sources, for our internal business purposes, including: (i) developing, training, testing and improving our products, services, internal tools, analytics, rules engines, rate libraries and models, including machine learning and artificial intelligence models; (ii) quality assurance and validating, calibrating and benchmarking findings and recommendations; (iii) internal analytics, business intelligence, forecasting and reporting; and (iv) creating Aggregated Data. Before using Submitted Materials for purposes other than providing the Assessment Services, we will remove or obscure information that identifies a natural person.

Aggregated Data. "Aggregated Data" means data derived from Submitted Materials, alone or combined with other data, that has been de-identified and aggregated so that it does not identify you, your business or any natural person. You grant IMPLENTIO, INC. a worldwide, perpetual, irrevocable, royalty-free, non-exclusive, transferable and sublicensable license to use, copy, process, analyze, combine, modify and create derivative works of Submitted Materials to create Aggregated Data. We own all Aggregated Data, and all models, rules, rate libraries, insights and other learnings we develop from Submitted Materials, and may use, publish, commercialize and disclose them for any lawful purpose, during and after your use of the Assessment Services. This includes industry benchmarks, cost and rate indices, market and research reports, pricing analyses, analytics and business intelligence products, marketing materials, and the development of our products and models.

Limits. We will not disclose Aggregated Data in a form that identifies you or any natural person, or that would reasonably enable a third party to identify you, and we will not attempt to re-identify you from Aggregated Data. We will not publish any figure attributed to a named carrier, third-party logistics provider, warehouse or other vendor unless it is derived from the data of at least five customers or prospects.

Confidentiality, Security and Retention

We do not share your Submitted Materials, or findings that identify you, with other brands or customers. We use appropriate technical and organizational measures designed to protect Submitted Materials, including encryption in transit and at rest, and we limit access to authorized IMPLENTIO, INC. personnel and service providers who need it to perform services for us and are bound by confidentiality obligations. We may disclose Submitted Materials if required by law, after giving you notice where legally permitted.

We keep Submitted Materials for as long as needed for the purposes above. You may ask us to delete your Submitted Materials at any time by contacting privacy@implentio.com, and we will delete them within 60 days, except for copies we must keep to meet legal obligations or that remain in routine backups until overwritten. Deletion does not affect Aggregated Data or learnings created before the request. This section and the sections titled Materials You Submit and How We Use Submitted Materials survive any termination of these Terms of Service.

Customer Agreements and Privacy Policy

If your business signs a subscription or services agreement with IMPLENTIO, INC., such as our SaaS Agreement (https://www.implentio.com/saas-agreement), that agreement governs our use of data you provide under it, and controls over these Terms of Service if they conflict. Our handling of personal information is described in our Privacy Policy (https://www.implentio.com/privacy-policy).

Intellectual Property

The intellectual property in the materials contained in this website are owned by or licensed to IMPLENTIO, INC. and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by IMPLENTIO, INC. at any time.

Liability

Our website and the materials on our website are provided on an 'as is' basis. To the extent permitted by law, IMPLENTIO, INC. makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall IMPLENTIO, INC. or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if IMPLENTIO, INC. or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity, or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Accuracy of Materials

The materials appearing on our website are not comprehensive and are for general information purposes only. IMPLENTIO, INC. does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.

Right to Terminate

We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of California, USA. You irrevocably submit to the exclusive jurisdiction of the courts in that State.
